These Terms of Service ("Terms") govern your access to and use of the website peras.top and the products and services provided by Peras Tech Global Limited ("Peras", "we", "us"), including the PerasPay applications and related features (collectively, the "PerasPay Services"). By accessing or using the PerasPay Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. We may restrict availability by jurisdiction, compliance requirements, or partner constraints.

2. Services & Partners

The PerasPay Services may include account onboarding, identity verification, funding and payout flows, card-related features, merchant payments, reconciliation and settlement reporting, and other financial features. Certain services are provided with or through licensed third-party partners (e.g., issuing banks, program managers, payment processors, and digital asset infrastructure providers). Partner terms may apply in addition to these Terms.

3. Account Registration & Verification

You agree to provide accurate, complete, and up-to-date information. We may require KYC/KYB, AML/CFT checks, and additional information (including source-of-funds/source-of-wealth) before enabling certain features. We may suspend or terminate access if verification fails or if we detect prohibited or high-risk activity.

4. Acceptable Use

You must not use the PerasPay Services for illegal activities, fraud, money laundering, sanctions evasion, terrorist financing, or any activity that violates applicable laws, card network rules, or our policies. You must not interfere with the security or operation of the Services.

5. Fees

We may charge fees for certain features (e.g., processing/settlement fees, FX spreads, card fees, subscription fees, or enterprise integration fees). Fees and pricing may be disclosed in-product, on invoices, or in commercial agreements. We may update fees with prior notice where required.

6. Risk Controls & Holds

To protect users and comply with regulations, we may apply transaction limits, delays, holds, reversals, or additional reviews. These actions may be required by partners, card networks, or legal obligations.

7. Intellectual Property

All content, software, trademarks, and documentation associated with the PerasPay Services are owned by Peras or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

8. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." We do not guarantee uninterrupted availability or that the Services will meet your requirements. Nothing in the Services constitutes financial, investment, legal, or tax advice.

9. Limitation of Liability

To the maximum extent permitted by law, Peras and its affiliates, directors, officers, employees, and agents shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, arising from or relating to your use of the Services.

10. Indemnification

You agree to indemnify and hold harmless Peras and its affiliates from claims, liabilities, damages, and expenses arising out of your misuse of the Services or violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms, pose a compliance risk, or as required by law or partners. You may stop using the Services at any time.

12. Changes to Terms

We may update these Terms from time to time. The “Last updated” date indicates the latest version. Continued use after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Hong Kong, without regard to conflict of laws rules, unless otherwise required by applicable law.
